Terms of Service

These Terms of Service (the Terms) are a legal agreement between you and KMF Ventures LLC (KMF Ventures, we, us, or our) governing your use of Whooshly (Whooshly or the Service). Whooshly is a pay-once campaign link toolkit for short links, dynamic QR codes, UTMs, digital cards, link-in-bio, landing pages and events. Please read them carefully.

1. Acceptance of these Terms

By creating an account, purchasing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and you in these Terms refers to that organization.

2. Who we are

The Service is operated by KMF Ventures LLC. Whooshly's marketing and legal pages run at whooshly.co; the dashboard, API, and MCP server run at app.whooshly.co; and generated short links and hosted content use whshly.co. You may also connect your own custom domains, as described below.

3. Eligibility

The Service is not directed to, and may not be used by, anyone under 16 years of age. By using the Service, you confirm that you are at least 16 years old and are able to form a binding contract with us.

4. Your account

You can register with an email address and a password (at least 8 characters), or, if you choose, by continuing with Google. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at legal@whooshly.co if you suspect any unauthorized use. We are not liable for any loss arising from your failure to keep your account secure.

5. The Service and plans

The Service is offered through the following plans and features:

  • Core (one-time purchase). A single, one-time purchase unlocks every product: short links, QR codes, campaign tracking and UTM templates, digital cards, link-in-bio pages, landing pages, events, and developer and agent access, together with one custom domain (a root domain or a subdomain). Event pages are free to create on every plan. The Core unlock is for the life of your account and includes bug fixes, security updates, and improvements to these products at no extra cost. Products we launch after your purchase are not part of Core and may be offered separately, including to existing Core customers. Core includes full analytics breakdowns for up to 1,000,000 tracked clicks and scans per calendar month. Above that volume, every link and QR code keeps redirecting and total counts continue, but detailed breakdowns (such as country, device, channel and UTM) may pause until the next month or until you move to a plan that includes more volume. Clicks and scans are never billed individually.
  • Business (one-time purchase). Business is a single, one-time purchase that includes everything in Core, together with up to 10 custom domains, smart routing (such as geo-based, device-based, browser-language, and A/B-test routing), link expiry, a longer analytics retention window, and full analytics breakdowns for up to 3,000,000 tracked clicks and scans per calendar month. A Business purchase includes the Core unlock, and a Core customer may upgrade by paying the difference shown at checkout. Like Core, Business does not renew.
  • Pro (recurring subscription). Pro is an optional, recurring subscription, billed monthly, that may be added to Core or Business. It extends analytics retention to your full retained history and increases the monthly volume of tracked clicks and scans that receive full analytics breakdowns to 5,000,000. Higher Pro levels of 10,000,000 ($29/month) and 25,000,000 ($79/month) can be selected in the app, which moves your existing subscription to the new level instead of starting a second one; above 25,000,000 per calendar month, contact us. Pro does not add custom domains or smart routing. If Pro ends, your links, QR codes, custom domains, and routing rules continue to work under your one-time plan.
  • Legacy domain credits. Some accounts that purchased Core before the current plans hold a credit wallet from earlier offers. Those credits keep the terms under which they were granted and are used only as described in the Service. New purchases do not include credits. Credits do not expire.

We may add, change, or discontinue features over time. Some limits apply to all accounts, including up to 10,000 links and hosted campaign assets combined per account, up to 1,000 saved UTM templates, reserved slugs, and rate limits, all of which we may adjust.

6. Payments and billing

Payments are processed by Polar, which acts as the merchant of record and seller of record for purchases made through the Service. Polar hosts the checkout, processes all payments, and handles billing and any applicable sales tax. You enter your payment-card details directly with Polar; those card details are never stored by Whooshly or KMF Ventures. Your purchase may also be subject to Polar's own terms.

Prices are shown at checkout and may change for future purchases. Pro subscriptions renew automatically at the end of each monthly billing period until cancelled. You may cancel a Pro subscription at any time, and cancellation takes effect at the end of the then-current billing period; you will retain Pro access until that period ends. Except where required by law, all payments are non-refundable, including the one-time Core and Business purchases, credit-pack purchases, and subscription fees already charged. You are responsible for any taxes not collected at checkout.

7. Acceptable use

Because short links can redirect anywhere and hosted vCards are public web pages, you must use the Service responsibly. You agree not to use the Service, and not to create, link to, redirect to, or publish, any content or destination that:

  • distributes malware, phishing, scams, or other harmful or fraudulent material;
  • is illegal, or infringes intellectual-property, privacy, or other rights;
  • is spam or unsolicited bulk messaging, or supports such messaging;
  • uses deceptive, cloaked, or bait-and-switch redirects, including repointing a link to materially different content to mislead visitors or evade detection;
  • impersonates another person or organization, or publishes someone else's personal data without their consent;
  • attempts to evade rate limits, resource caps, or reserved slugs, or otherwise interferes with, probes, or disrupts the Service or its infrastructure.

We apply per-IP rate limiting and per-account resource caps to help protect the Service, but these are technical safeguards, not a substitute for your compliance with these Terms. We may disable, remove, or block any link, QR code, vCard, custom domain, or account that we reasonably believe violates these Terms, with or without notice.

8. Your content and links

You retain ownership of the content and data you provide, including destination URLs, QR code contents, UTM values, vCard fields (such as name, job title, organization, phone, email, website, and any note you choose to add), and custom-domain hostnames (your Content). You are solely responsible for your Content and for the destinations your links and codes point to, and you represent that you have the rights needed to use and publish them.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and serve your Content, and to generate redirects, QR codes, and hosted vCard pages, solely as needed to operate and provide the Service. Because short links redirect publicly and hosted vCards are public web pages, your Content may be publicly accessible by design. We may remove or disable Content or links that violate these Terms. 9. Event pages and ticketing

If you publish an event page or sell tickets through the Service, you are the organizer. This section applies in addition to the rest of these Terms.

  • You are the seller. Paid tickets are sold by you through your own Stripe account using direct charges, so you are the merchant of record for your ticket sales. You are responsible for your event, the accuracy of your event page, delivering what you sell, applicable taxes, refunds, and attendee support. KMF Ventures provides the technology and is not a party to the sale between you and your attendees.
  • Stripe. To sell paid tickets you must connect a Stripe account and accept Stripe's terms, including the Stripe Connected Account Agreement. Stripe processes the payments and pays out to you. We never hold your ticket proceeds.
  • Platform fee. We charge the Whooshly platform fee shown in the Service on each paid ticket, so an order for several tickets carries the fee once per ticket. It is collected by Stripe as an application fee. You choose whether to absorb it or show it to buyers at checkout. Stripe's processing fees are separate. Free RSVPs carry no platform fee.
  • Refunds, cancellations, and disputes. Your event page shows Whooshly's refund policy before checkout. You must honor that policy. If you cancel an event, you must refund ticket holders. Refunds, chargebacks, and dispute fees on your sales are your responsibility.
  • Attendee information. You control the registration and attendee information you collect, including registration answers and check-in times, and must use it lawfully and only in connection with your event. We process it on your behalf to operate the Service and do not use it to market Whooshly to your attendees.
  • Emails to your guests. We send transactional emails to your attendees on your behalf: registration and ticket confirmations, a notice when someone is already registered, and notices about changes, cancellations, and refunds. They show your host name followed by "via Whooshly", and replies go to the contact email you set for the event, or your account email if you set none. We email you about each registration and ticket order unless you turn that off for the event. The Service does not send marketing to your attendees.
  • Host name and contact email. The host name and contact email you set must be accurate and yours to use. You may not use another person's or organization's name, a name that suggests you are Whooshly or are affiliated with a company you are not, or an email address you do not control. We may refuse or remove a host name that breaks this rule.
  • Ticket pages. Each registration and ticket has a private ticket page with a QR code for entry. Guests with a free registration can change their number of guests or cancel it there until the event starts; paid tickets are refunded only by you, under your refund policy.
  • Door-staff links. You can create check-in links that let people without a Whooshly account look up your attendees and check them in. Anyone with such a link can do that until it expires after the event or you revoke it, so share links only with people you trust, revoke any link that may have been exposed, and treat what is done with your links as your responsibility.
  • Capacity and admission. The Service enforces the capacity and ticket limits you set, but you remain responsible for venue capacity, safety, age and admission requirements, and the law where your event takes place. Check-in needs an internet connection, so keep a backup, such as the attendee CSV export, in case the Service is unavailable.
  • Prohibited events. You may not publish events that are illegal, fraudulent, or misleading; sell tickets you cannot deliver; resell tickets in breach of the original seller's terms or the law; involve products or services Stripe prohibits; or ask attendees for passwords, card details, or other sensitive information outside the Service's checkout.
  • Public event pages. Event pages may be published at events.whooshly.co, may appear in search results, and always include a way to report the event. We may remove event pages, stop ticket sales, or suspend accounts that break these Terms.

10. Payment buttons on your pages

You can add payment buttons to your link-in-bio pages. This section applies in addition to the rest of these Terms.

  • Payments go directly to you. A payment button either links to a third-party payment service (such as PayPal, Venmo, Cash App, Revolut, Monzo, Stripe, Wise, Ko-fi, Buy Me a Coffee, or Patreon) or shows a payment detail that your visitors use in their own banking or payment app (such as a Zelle email or phone number, an Apple Cash number, a Bizum number, an M-Pesa till number, a CLABE, or a UPI ID or UPI QR code). Payments are made directly between your visitors and you through those services. KMF Ventures does not process, hold, or transmit those payments, is not a party to them, and cannot refund, reverse, or trace them.
  • Your payment details. The handles, links, identifiers, and payment QR codes you add must belong to you or to the business you are authorized to represent, and you must be allowed to receive payments with them under the payment service's own terms. You are responsible for what you are paid for, delivering it, applicable taxes, refunds, and disputes with your payers.
  • Public by design. Payment details you add are shown publicly on your page and on its pay pages, including any email address, phone number, or account identifier. Only add details you are comfortable publishing.
  • Payment QR codes. When you upload a payment QR code, it is read in your browser and we store the payment details it contains, not the image. We remove web links embedded in it and may reject codes that are not payment codes.
  • Names and logos. We show the names and logos of payment services only to identify how visitors can pay you. Those marks belong to their owners, and showing them does not mean the payment service endorses you or Whooshly.
  • No fraud or impersonation. You may not use payment buttons to impersonate another person, business, or payment service, to request payment for anything you cannot or will not deliver, or to collect payments for illegal activity. We may remove payment buttons or pages, or suspend accounts, that we reasonably believe are fraudulent or misleading, with or without notice, and may share information with payment services or authorities where the law allows. Anyone can report a page at whooshly.co/report.

11. Third-party destinations and services

The Service relies on third-party providers, including our cloud and hosting infrastructure provider, the payment processor that acts as our merchant of record, and Google if you choose to sign in with Google. We do not control the websites your links redirect to, the content others publish, or the practices of these third parties, and we are not responsible for them. Your use of any third-party site or service is at your own risk and may be governed by that party's own terms and policies.

12. Privacy

Our Privacy Policy explains what information we collect and how we handle it, including the limited analytics we record when links are clicked or QR codes and vCards are viewed. By using the Service, you acknowledge that we process information as described there.

13. Service availability and disclaimers

The Service is provided on an as is and as available basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any results obtained through it will be accurate or reliable. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law, KMF Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to the Service, even if we have been advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless KMF Ventures and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

16. Suspension and termination

You may stop using the Service at any time and may delete your account. Deleting your account removes the data associated with it, including your links, QR codes, vCards, UTM templates, custom domains, and related analytics. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. The one-time Core and Business unlocks and any unused credits are tied to your account, and ending your account or a subscription does not entitle you to a refund except where required by law. Sections that by their nature should survive termination, including those on your content license, disclaimers, limitation of liability, indemnification, and governing law, will survive.

17. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new effective date or notifying you in the Service. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service.

18. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and any dispute will be brought in the state or federal courts located in Wyoming. Before filing any claim, you agree to first contact us at legal@whooshly.co and to make a good-faith effort to resolve the dispute informally. To the extent permitted by law, you and KMF Ventures agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative action.

19. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will stay in effect. These Terms, together with the Privacy Policy and any terms shown at checkout, are the entire agreement between you and us regarding the Service. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including outages, network failures, or acts of nature.
