Terms of Service

These Terms of Service (the Terms) are a legal agreement between you and KMF Ventures LLC (KMF Ventures, we, us, or our) governing your use of Whooshly (Whooshly or the Service), a campaign link toolkit that provides short links, dynamic QR codes, a UTM builder, hosted vCards, and related features. Please read them carefully.
1. Acceptance of these Terms
By creating an account, purchasing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and you in these Terms refers to that organization.
2. Who we are
The Service is operated by KMF Ventures LLC. Whooshly runs at app.whooshly.co (the dashboard and API) and whooshly.co (the short-link redirect domain and our marketing and legal pages). You may also connect your own custom domains, as described below.
3. Eligibility
The Service is not directed to, and may not be used by, anyone under 16 years of age. By using the Service, you confirm that you are at least 16 years old and are able to form a binding contract with us.
4. Your account
You can register with an email address and a password (at least 8 characters), or, if you choose, by continuing with Google. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at legal@whooshly.co if you suspect any unauthorized use. We are not liable for any loss arising from your failure to keep your account secure.
5. The Service and plans
The Service is offered through the following plans and features:
- Core (one-time purchase). A single, one-time purchase unlocks the core tools: short links, dynamic QR codes, the UTM builder and templates, and hosted vCards. The Core unlock is for the life of your account.
- Pro (recurring subscription). Pro is a separate, recurring monthly subscription that unlocks smart routing (such as geo-based, device-based, and A/B-test routing and link expiry) and extends analytics retention beyond the standard window.
- Credits and custom domains. A credit wallet meters features that carry an ongoing third-party cost, primarily connecting your own custom domains. Your Core unlock includes a starter grant of 12 credits, and you may purchase additional one-time credit packs. Connecting a custom domain costs at least one credit, and a recurring monthly credit is required to keep a custom domain active. If a domain's credit cannot be charged, that domain may be removed. Credits do not expire.
We may add, change, or discontinue features over time. Some limits apply to all accounts, including resource caps (for example, up to 10,000 links, QR codes, and vCards combined per account, and a cap on saved UTM templates), reserved slugs, and rate limits, all of which we may adjust.
6. Payments and billing
Payments are processed by Polar, which acts as the merchant of record and seller of record for purchases made through the Service. Polar hosts the checkout, processes all payments, and handles billing and any applicable sales tax. You enter your payment-card details directly with Polar; those card details are never stored by Whooshly or KMF Ventures. Your purchase may also be subject to Polar's own terms.
Prices are shown at checkout and may change for future purchases. Pro subscriptions renew automatically each month until cancelled. You may cancel a Pro subscription at any time, and cancellation takes effect at the end of the then-current billing period; you will retain Pro access until that period ends. Except where required by law, all payments are non-refundable, including the one-time Core purchase, credit-pack purchases, and subscription fees already charged. You are responsible for any taxes not collected at checkout.
7. Acceptable use
Because short links can redirect anywhere and hosted vCards are public web pages, you must use the Service responsibly. You agree not to use the Service, and not to create, link to, redirect to, or publish, any content or destination that:
- distributes malware, phishing, scams, or other harmful or fraudulent material;
- is illegal, or infringes intellectual-property, privacy, or other rights;
- is spam or unsolicited bulk messaging, or supports such messaging;
- uses deceptive, cloaked, or bait-and-switch redirects, including repointing a link to materially different content to mislead visitors or evade detection;
- impersonates another person or organization, or publishes someone else's personal data without their consent;
- attempts to evade rate limits, resource caps, or reserved slugs, or otherwise interferes with, probes, or disrupts the Service or its infrastructure.
We apply per-IP rate limiting and per-account resource caps to help protect the Service, but these are technical safeguards, not a substitute for your compliance with these Terms. We may disable, remove, or block any link, QR code, vCard, custom domain, or account that we reasonably believe violates these Terms, with or without notice.
8. Your content and links
You retain ownership of the content and data you provide, including destination URLs, QR code contents, UTM values, vCard fields (such as name, job title, organization, phone, email, website, and any note you choose to add), and custom-domain hostnames (your Content). You are solely responsible for your Content and for the destinations your links and codes point to, and you represent that you have the rights needed to use and publish them.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and serve your Content, and to generate redirects, QR codes, and hosted vCard pages, solely as needed to operate and provide the Service. Because short links redirect publicly and hosted vCards are public web pages, your Content may be publicly accessible by design. We may remove or disable Content or links that violate these Terms. To report abuse, contact legal@whooshly.co.
9. Third-party destinations and services
The Service relies on third-party providers, including our cloud and hosting infrastructure provider, the payment processor that acts as our merchant of record, and Google if you choose to sign in with Google. We do not control the websites your links redirect to, the content others publish, or the practices of these third parties, and we are not responsible for them. Your use of any third-party site or service is at your own risk and may be governed by that party's own terms and policies.
10. Privacy
Our Privacy Policy explains what information we collect and how we handle it, including the limited analytics we record when links are clicked or QR codes and vCards are viewed. By using the Service, you acknowledge that we process information as described there.
11. Service availability and disclaimers
The Service is provided on an as is and as available basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any results obtained through it will be accurate or reliable. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, KMF Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to the Service, even if we have been advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless KMF Ventures and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
14. Suspension and termination
You may stop using the Service at any time and may delete your account. Deleting your account removes the data associated with it, including your links, QR codes, vCards, UTM templates, custom domains, and related analytics. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. The one-time Core unlock and any unused credits are tied to your account, and ending your account or a subscription does not entitle you to a refund except where required by law. Sections that by their nature should survive termination, including those on your content license, disclaimers, limitation of liability, indemnification, and governing law, will survive.
15. Changes to the Service and these Terms
We may update the Service and these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new effective date or notifying you in the Service. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and any dispute will be brought in the state or federal courts located in Wyoming. Before filing any claim, you agree to first contact us at legal@whooshly.co and to make a good-faith effort to resolve the dispute informally. To the extent permitted by law, you and KMF Ventures agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative action.
17. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will stay in effect. These Terms, together with the Privacy Policy and any terms shown at checkout, are the entire agreement between you and us regarding the Service. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including outages, network failures, or acts of nature.
